Position Description
Assist Treasury Tax Director in managing the tax legal function for AIG Treasury, including all capital markets transactions of AIG and its subsidiaries and businesses. Work closely with the Treasury Tax Director, the Corporate Tax Department and the Tax Directors in the business units to develop, implement, and monitor best practices for:
1. Tax optimization of capital markets and M&A activities in AIG Treasury and advice to Restructuring Group,
2. Management and mitigation of tax risk, including both direct tax risk and reputational risk,
3. Corporate governance in respect of managing tax risk,
4. Identifying, resolving, and documenting FIN 48 issues,
5. Provide guidelines for Treasury Department and businesses and their controllers regarding tax accounting for derivatives and other financial instruments, including the application of hedging and mark-to-market rules.
• Maximize, through technical analysis, internal documentation, and law firm tax opinions, AIG’s tax return position, IRS audit position, and litigation posture around capital market transactions developed and/or executed by AIG or its Subsidiary Insurance companies.
• Advise, support, and optimize capital and tax opportunities and efficiencies with respect to new business products, M&A, external and intercompany financing, and other transactions through technical consultation.
• Support and advocate AIG’s position in IRS audit and controversy matters through technical consultation.
• Develop and implement tax planning strategies capital market and tax-advantaged opportunities for AIG.
• Refer/escalate tax issues as appropriate, based on internal risk procedures.
• Establish goals and objectives for functional area of responsibility.
• Perform acquisition due diligence and review federal and state tax legislation, as requested.
• Interface with other departments to ensure Treasury tax planning strategies are being properly applied and implemented by the organization.
• Evaluate potential impact of tax law changes.
• Identify potential tax problems and propose effective tax planning ideas.
Skills & Experience
• J.D. degree and/or LL.M. (tax) degree.
• 4-10 years experience in the application of US federal income tax law to complex financial transactions and instruments, in a top tier law firm and/or a financial services company.
• Working knowledge of FIN 48, and experience in its real-world application to complex financial transactions.
• P.C. knowledge and skills including MS Windows, Excel, Word, PowerPoint.
• Ability to work well in a team environment.
• Outstanding analytical, quantitative, written, oral, presentation, and organizational skills.
• Supervisory skills and ability to lead change.
