Attorney II The candidate will be responsible for fact gathering and legal research to provide legal assistance and advice in matters related to mergers and acquisitions, commercial transactions and debtor creditor/inter-creditor issues. Reviews and drafts legal documents. Negotiates with outside parties. Represents the legal perspective on company projects and monitors outside counsel as necessary. Performs complex fact gathering and legal research which includes interviewing associates/clients, and reviewing documents in files or term sheets for proposed deals. Organize and supervise complex projects, involving non-real estate contracts, customer financings, outsourcing agreements and other commercial contracts. Develop results-oriented strategies, and monitor results. Draft documents involving creation of new complex agreements and modification of existing forms. Frequent interaction with internal business leaders, including the development of legal structures and strategies to obtain new business or retain existing business in a highly competitive business environment, in ways that minimize the economic and legal risk to the Company. Negotiate with sophisticated customers, outside vendors and their counsel. Provide legal training to other department associates and Company functions.

The candidate should have a J.D. degree and membership in the Minnesota State Bar. Must have 4-6 years of prior legal experience and knowledge of M&A and Debtor/Creditor issues and transactions is strongly preferred. Law firm experience also strongly preferred. Demonstrated understanding of M&A and Debtor/Creditor business risks and opportunities is required. Must have demonstrated understanding of transaction related accounting and tax issues.
