Overview:
Provide legal support and advice to the business clients of the Equity Counsel area of the Law Department. The primary focus of this position will be to provide services related to new products and services developed for the Retirement Solutions profit center. Specific legal services will include review of new product or services specifications, review of contract/policy forms, SEC and other regulatory filings, negotiation of applicable agreements, development of applicable compliance and administrative policies and procedures, relevant research and review of marketing materials and other distribution issues. Specific expertise includes federal securities laws (including SEC and FINRA regulations) and ERISA.
Responsibilities:
Major Opportunities and Decisions:
* provide high quality legal services to ensure the timely development of new products and services by clients of the Equity Counsel client group.
* Provide ongoing advice to ensure that product features, marketing materials, administrative practices, contractual arrangements and compliance policies and procedures are in line with all applicable regulations and industry best practices.
* Maintain a proper balance between business and legal objectives to achieve appropriate outcomes that are efficient and responsive to all relevant requirements.
Principal Accountabilities:

Review specifications for new product and services. Review and negotiate related policy forms and relevant agreements.
Ensure compliance with applicable regulations
Regulatory filings related to new and existing retirement products
Ensure timely introduction of new products and maintenance of existing products
Review of marketing materials, administrative forms and compliance policies related to products and services
Ensure compliance with applicable regulations
Provide advice to administrative area for new and existing products
Ensure efficient practical outcomes of issues raised
Review of distribution and other agreements related to retirement products
Timely completion of appropriate business arrangements
Qualifications:
Education and Experience:
Education:
* JD degree
* Bar Admission
Experience:
* At least three (3) years of directly relevant experience in variable insurance products and retirement products
* Working knowledge of securities laws, ERISA and insurance laws
* Prior experience in a large firm or large life insurance company is desired
* Demonstrated experience in legal matters related to securities and retirement products
* Knowledge of laws governing securities products, qualified retirement plans, marketing materials, and variable insurance products.
